1. Introduction & Agreement

Welcome to QuickBite Delivery Inc. ("QuickBite," "we," "us," "our"). We provide a technology platform connecting customers ("you") with independent restaurant partners ("Restaurants") and independent delivery contractors ("Riders") to facilitate on-demand food delivery services. These Terms of Service ("Terms") constitute a legally binding agreement between you and QuickBite. These Terms govern your use of our website, mobile applications (collectively, the "Platform"), and all related services. By accessing our Platform or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

2. Eligibility

To create a QuickBite account and use our Platform, you must be at least 18 years of age and possess the legal authority and capacity to enter into a binding contract. You affirm that all information provided to us during account creation and the ordering process is true, accurate, current, and complete.

3. User Account & Responsibilities

You, the user, agree to create a single account for personal use and to provide and maintain current, complete, and accurate information. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify QuickBite immediately of any unauthorized use of your account.

Order Information: It is your responsibility to provide an accurate and secure delivery address, contact information, and any specific delivery instructions. You are also responsible for reviewing your order details for accuracy, including items, customizations, and any allergen information you provide in the special instructions field. QuickBite transmits these instructions to the Restaurant but cannot guarantee the Restaurant will accommodate them.

4. The Platform, Orders & Availability

QuickBite is a technology platform that serves as an intermediary. We are not a restaurant or food preparation entity. Our Restaurant partners are independent businesses responsible for the quality, preparation, and safety of the food, as well as for complying with all applicable laws and regulations. Menu information, including prices and item availability, is provided by the Restaurants and is subject to change. Placing an order constitutes an offer to purchase food from a Restaurant. An order is confirmed only upon your receipt of an official order confirmation from QuickBite. We reserve the right to limit the availability of our services in certain areas or at certain times.

5. Pricing, Billing, and Payment

When you place an order, you agree to pay the full amount for all items, including all applicable fees and taxes. The total price will consist of: the price of menu items (set by the Restaurant), applicable taxes, a delivery fee (for the Rider's service), and a service fee (to operate the QuickBite Platform). You will have the opportunity to add an optional tip for your Rider. All charges are processed immediately upon order confirmation through our secure third-party payment processor. QuickBite reserves the right to change its fees at any time; however, fees for confirmed orders will be honored.

6. Delivery

All delivery timeframes provided by our QuantumLeap™ system are good-faith estimates. Actual delivery times may vary due to factors beyond our control, including Restaurant preparation times, traffic, weather, and other unforeseen circumstances. Our obligation is to facilitate the delivery to the address you provide. Title and risk of loss for all food items pass to you upon the Rider's delivery to your specified location. QuickBite and its Riders are not responsible for orders that are lost, stolen, or damaged after being delivered to a correct and secure address. It is your responsibility to be available to receive the delivery at the estimated time.

7. Cancellations, Refunds & Issue Resolution

Our policies are designed to be fair to all parties in our three-sided marketplace.

• Cancellations: You may cancel an order for a limited time after it is placed, typically before the Restaurant has accepted and begun preparing it. The option to cancel will be available in the app. Once a Restaurant has started preparing your order, it cannot be canceled.
• No Returns: Due to the perishable nature of food, we do not accept returns.
• Order Issues: If you receive an order that is incorrect, missing items, or has a significant quality issue, you must report the problem to QuickBite's customer support through the app or our contact channels within 24 hours of delivery. Please provide your order ID and, if possible, photographic evidence.
• Refunds & Credits: QuickBite will review all reported issues. At our sole discretion, we may issue a full or partial refund, account credit, or other compensation. Any compensation is determined on a case-by-case basis. We are not responsible for the taste or personal preference of food items that are prepared correctly by the Restaurant.

8. Intellectual Property

The "QuickBite" name, our logo, website and application design, text, graphics, and our proprietary technologies like "QuantumLeap" and "TasteSync" ("Platform Assets") are the exclusive intellectual property of QuickBite Delivery Inc. and are protected by international copyright, trademark, and trade secret laws. We grant you a limited, non-exclusive, non-transferable license to access our Platform for personal, non-commercial use. Any unauthorized use, reproduction, or distribution of our Platform Assets is strictly prohibited.

9. Limitation of Liability

To the fullest extent permitted by law, QuickBite's liability for any claim arising out of your use of our Platform or services shall be limited to the total amount you have paid to us for the specific order in question. QuickBite is a technology platform and disclaims all liability for the acts or omissions of any third party, including Restaurants and Riders. We are not responsible for food preparation, quality, or safety, nor for any allergic reactions. The Restaurant is solely responsible for all information regarding allergens. In no event shall we be liable for any indirect, incidental, special, or consequential damages.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. In the event of any dispute arising from these Terms or our services, you agree to submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

11. Policy Updates

We reserve the right to update or modify these Terms of Service at any time without prior notice. The revised Terms will be posted on our Platform, and the "Last Updated" date will be amended. Your continued use of our services or placement of an order after any such changes are posted constitutes your acceptance of the new Terms.
